DUQE recognises three structures — covering solo founders, multi-shareholder partnerships and branches of existing companies.

Free Zone Limited Liability Company (FZ LLC / FZ Co.)

Multi-shareholder limited-liability vehicle. Standard DUQE structure for partnerships and growth-stage teams with limited liability exposure to capital.

Single-owner vehicle for solo founders. Combines full control with limited-liability protection — the most common structure for independent practitioners.

How a DUQE Company Is Formed

DUQE runs a fast, founder-friendly onboarding process. Standard setups complete in five to ten working days.

    Reserve the Trade Name

    Pick a unique trade name aligned with UAE naming rules. The name is reserved through DUQE's onboarding flow.

    Sign the Registration Documents

    Memorandum of Association, shareholder agreements and KYC documents are drafted to DUQE's current template and signed by all shareholders.

  3. 03

    Obtain Initial Approval

    DUQE reviews the application and issues initial approval covering activity, structure and shareholder profile.

    Trade Licence Issued

    Once initial approval clears, DUQE issues the trade licence and corporate documents. Standard timelines run five to ten working days.

    Open Bank Account & Apply for Visas

    Open a corporate bank account using the issued documents. Investor and employee visas are processed alongside Emirates ID and medicals.

Tax & Compliance Position — DUQE

DUQE entities follow the standard UAE Free Zone Corporate Tax regime. DUQE is not a Designated Zone for VAT purposes — its tenant profile is service-led rather than physical-goods movement, so this is rarely a commercial issue.

UAE Corporate Tax

9% Headline · 0% QFZP on Qualifying Income

Corporate Tax at 9% above AED 375,000. DUQE entities can elect QFZP for 0% on Qualifying Income. Service businesses to non-UAE clients, and certain headquarters / qualifying services activities, are on the Qualifying Activities list under Ministerial Decision 265/2023.

QFZP eligibilityQFZP requires Free Zone substance. DUQE's onboard offices and meeting facilities can satisfy substance for service businesses — but a virtual-only DUQE setup wouldn't pass the substance test. Avyanco scopes this before election.
UAE VAT

5% Standard Rate · Standard VAT Regime

DUQE entities follow standard UAE VAT — 5% on taxable supplies, AED 375,000 mandatory registration threshold (AED 187,500 voluntary). Hospitality / F&B activities specifically have VAT due on most supplies; certain education activities may qualify for exemption or zero-rating.

Not a Designated ZoneDUQE is not a Designated Zone under Cabinet 59/2017. Goods-movement VAT efficiency is not a relevant decision factor for DUQE — its tenant profile is service-led.
